Mergers & Acquisitions – risks minimization

Despite intensive due diligence before acquiring a company directors, managers and decision-makers keep facing the same crucial questions:

Do the figures correspond with the actual business performance / volume of business?
Does the staff actually support the new management?
Which (unknown) agreements and contracts with suppliers, clients or other third parties could influence the evaluation of the company?
Have all hard and soft risk factors been factored into the due diligence?
Answers to these and similar questions are usually phrased rather vague – therefore an appropriate grey area is deliberately factored in.

This is what our M & A workshop draws on

Security analysis of the company and assessment of the staff regarding corruption and loyalty.
Assessment of existing business relationships concerning inconsistencies and vulnerabilities.
Evaluation of the company’s key figures from a market-oriented perspective, etc.
